1. TENDER


1.1 Deadline Private Treaty
1.1.1 Nature of the Tender Process: The Property is offered for sale via a Deadline Private Treaty process. This process functions as a closed invitation for offers, whereby prospective purchasers are invited to submit written offers to purchase to the Property Practitioner at any time on or before 12:00 on 7 July 2026 (the "Deadline").

1.1.2 Submission of Offers and Conditions: All offers submitted must be executed using the standard Agreement of Sale provided by the Property Practitioner. Prospective purchasers may include suspensive conditions (including, but not limited to, securing finance or statutory approvals) within their offers, and are granted the period prior to the Deadline to conduct necessary due diligence and prepare their best offers.

1.1.3 Seller’s Discretion and Right of Early Acceptance: The Seller is under no obligation to accept the highest or any offer received. Notwithstanding the specified Deadline, the Seller reserves the absolute right, in their sole and unhindered discretion, to accept an exceptionally favourable offer at any time prior to the Deadline, thereby concluding the sale and terminating the Deadline Private Treaty process without prior notice to other prospective purchasers.

1.1.4 Late Offers: While prospective purchasers are encouraged to submit offers before the Deadline, the Seller reserves the right, at their sole discretion, to consider, negotiate, and accept any written offers received after the Deadline has lapsed.

1.1.5 Withdrawal of the Property: from the Market The Seller reserves the right to withdraw the Property from the market and terminate this tender process at any time prior to the Deadline or the conclusion of a binding Agreement of Sale, without providing reasons. In the event of such a withdrawal, formal written notice shall be dispatched via email only to prospective purchasers who have formally registered interest and to whom a written notice of registration confirmation has been sent by the Property Practitioner.

1.1 6 Limitation of Liability and Costs: Neither the Seller nor the Property Practitioner shall be held responsible or liable for any costs, losses, or expenses incurred by any prospective purchaser, registered or otherwise, in the preparation, submission, or negotiation of an offer, or in the conduct of any due diligence investigations, irrespective of whether the Property is sold prior to the Deadline, withdrawn from the market, or if any offers are rejected.
